These Terms and Conditions apply to the use of the F5 Studio website and to our general working relationship with clients, unless a separate written agreement, proposal, statement of work, contract, or other written agreement states otherwise.
By using this website, contacting F5 Studio, requesting a proposal, approving an estimate, or engaging our services, you agree to these Terms.
If any project-specific agreement conflicts with these Terms, the project-specific agreement takes priority.
General work terms
F5 Studio provides web design, web development, WordPress development, UX/UI design, SEO, digital marketing, paid advertising support, dedicated development support, outsourcing, agency partnership, support, maintenance, and related digital services.
The exact scope, deliverables, timeline, price, payment schedule, communication process, and responsibilities for each project are defined in the relevant proposal, estimate, statement of work, contract, invoice, or written agreement.
F5 Studio may provide services under different commercial models, including fixed-price projects, hourly work, monthly retainers, dedicated specialist arrangements, support plans, or mixed engagement models.
Any work not clearly included in the agreed scope is treated as additional work and may require a separate estimate, timeline, and approval.
Client responsibilities
The Client is responsible for providing all required materials, information, access, approvals, and feedback needed for the project.
This may include, but is not limited to:
- website content;
- images, videos, logos, and brand assets;
- hosting, domain, CMS, analytics, advertising, and third-party service access;
- legal texts, privacy policies, cookie notices, and compliance-related content;
- business, product, service, pricing, and contact information;
- technical documentation, design files, project management access, and brand guidelines;
- timely feedback and approvals.
Unless agreed otherwise in writing, F5 Studio is not responsible for creating, checking, or legally validating client-provided content.
The Client is responsible for keeping backups of any existing website, data, content, files, or systems before F5 Studio starts work. F5 Studio is not responsible for the loss of existing data unless this responsibility is specifically agreed in writing.
Content and third-party rights
The Client confirms that any content, files, images, logos, trademarks, fonts, videos, copy, data, or other materials provided to F5 Studio may be legally used for the project.
The Client is responsible for obtaining all necessary permissions, licenses, and rights for materials supplied to F5 Studio.
If any claim arises from materials provided by the Client, including copyright, trademark, licensing, privacy, or ownership claims, the Client is responsible for resolving that claim and for any related costs, unless otherwise agreed in writing.
Project stages and approvals
Most projects are completed in stages. These may include discovery, planning, UX, design, development, testing, revisions, launch, support, reporting, or ongoing maintenance.
Work on the next stage may depend on approval of the previous stage, payment of the relevant invoice, delivery of required materials, or access to required systems.
F5 Studio will provide the Client with opportunities to review work at agreed project stages. Unless a different review period is agreed in writing, the Client should provide feedback within seven calendar days after receiving work for review.
If the Client does not respond within the agreed review period, F5 Studio may treat the submitted work as approved for the purpose of moving the project forward.
F5 Studio is not responsible for delays, extra work, or quality issues caused by incomplete feedback, conflicting instructions, missing materials, unclear approvals, or delayed access.
Timelines
Project timelines are estimates unless a fixed timeline is specifically agreed in writing.
Timelines may change if:
- required content, access, or feedback is delayed;
- the project scope changes;
- third-party tools, hosting, plugins, APIs, advertising platforms, or other services cause delays;
- technical issues appear during the project;
- additional features, revisions, integrations, campaigns, or services are requested;
- approval or communication is delayed;
- circumstances outside F5 Studio’s reasonable control affect delivery.
F5 Studio will aim to communicate timeline changes clearly and as early as reasonably possible.
Payments
Payment terms are defined in the relevant proposal, invoice, contract, or written agreement.
A project may require an upfront payment, milestone payments, hourly billing, monthly retainer payments, recurring payments, or full payment before launch or delivery of final files.
F5 Studio may pause work, delay delivery, delay launch, restrict access to deliverables, or suspend ongoing services if required payments are overdue.
If a project or ongoing service is cancelled before completion, the Client is responsible for paying for the work completed up to the cancellation date, together with any approved third-party costs, non-refundable expenses, committed specialist time, media spend, subscription fees, or other approved costs.
All payments must be made in full and without unauthorized deductions, discounts, chargebacks, or set-offs.
Unless agreed otherwise in writing, bank transfer fees, payment processor fees, currency conversion costs, taxes, withholding charges, and similar payment-related costs are the Client’s responsibility.
Final delivery, ownership transfer, launch, access handover, or continued service may be delayed until all outstanding payments are received.
Project pause, cancellation, and inactivity
If the Client delays required feedback, content, access, approvals, or payment, F5 Studio may pause the project or reschedule the work.
If a project remains inactive because of Client-side delays, F5 Studio may invoice for completed work, approved costs, or reserved time.
Restarting a paused project may require a revised timeline, updated estimate, or new availability confirmation.
If the project scope, technical environment, third-party systems, or business requirements change during a pause, additional review and adjustment work may be required.
Changes, rework, and additional work
The agreed project scope defines what is included in the project.
Requests that are outside the agreed scope may be treated as additional work. This includes new features, new templates, new pages, extra integrations, additional campaigns, new SEO tasks, new tracking requirements, structural changes, additional design directions, content entry beyond the agreed amount, and changes requested after approval of a previous stage.
Additional work may require a separate estimate, timeline, and approval before work begins.
Minor adjustments may sometimes be handled within the existing project scope, but F5 Studio reserves the right to classify repeated, unclear, expanded, or late-stage change requests as additional billable work.
Website development and launch
For website development projects, the agreed scope defines what F5 Studio will design, develop, configure, test, migrate, launch, or support.
Unless agreed otherwise in writing, website development does not include unlimited pages, unlimited revisions, copywriting, legal content, advanced SEO campaigns, paid advertising, complex integrations, custom plugin development, accessibility certification, hosting administration, or ongoing maintenance.
F5 Studio may perform launch checks, QA, responsive testing, browser testing, basic technical SEO setup, metadata implementation, redirect setup, analytics setup, or performance-related work if these items are included in the agreed scope.
Website launch may depend on Client approval, domain access, hosting access, DNS settings, third-party service readiness, payment status, content readiness, and technical conditions outside F5 Studio’s direct control.
F5 Studio is not responsible for issues caused by hosting limitations, third-party scripts, plugins, themes, APIs, tracking tools, advertising pixels, security tools, or services outside F5 Studio’s control.
Support and maintenance
For website development projects, F5 Studio provides a 30-day post-launch support period unless a different support period is agreed in writing.
This support period covers project-related defects within the approved scope of work. It does not include new features, new pages, redesign work, content creation, major structural changes, third-party product changes, hosting issues, marketing work, SEO work outside the agreed scope, or issues caused by changes made by the Client or another third party.
After the agreed support period ends, additional support, maintenance, updates, fixes, or improvements may be quoted separately or handled under a support plan.
If the Client has an ongoing maintenance or support plan, the exact services, response expectations, monthly hours, exclusions, billing model, and communication process are defined in the relevant agreement.
SEO services
If F5 Studio provides SEO services, the exact scope is defined in the relevant proposal, agreement, or written scope of work.
SEO work may include technical SEO review, keyword research, metadata recommendations, content structure recommendations, internal linking recommendations, redirect planning, on-page recommendations, SEO-sensitive launch checks, analytics review, reporting, and related advisory or implementation work.
F5 Studio does not guarantee specific search rankings, traffic levels, indexing, revenue, leads, conversions, or any other search-related outcome.
Search performance depends on many factors outside F5 Studio’s control, including search engine algorithms, competition, website history, content quality, backlinks, technical limitations, client-side changes, market demand, and third-party platforms.
If SEO recommendations require changes to content, design, development, hosting, tracking, redirects, or third-party systems, the Client is responsible for approving and implementing those changes unless implementation is included in the agreed scope.
F5 Studio does not provide legal, financial, medical, or regulated-industry compliance advice as part of SEO services. The Client is responsible for reviewing all published content for accuracy, legality, and compliance with applicable laws and industry rules.
Digital marketing and paid advertising services
If F5 Studio provides digital marketing, paid advertising, campaign setup, campaign management, analytics, tracking, content marketing, conversion-related recommendations, or related services, the exact scope is defined in the relevant proposal, agreement, or written scope of work.
Unless agreed otherwise in writing, advertising budgets, media spend, platform fees, software subscriptions, stock assets, influencer fees, third-party production costs, and other external costs are not included in F5 Studio’s service fees.
The Client is responsible for funding advertising accounts, maintaining billing methods, approving budgets, approving campaigns, and complying with the policies and legal requirements of each advertising platform.
F5 Studio does not guarantee specific leads, sales, revenue, conversions, return on ad spend, cost per lead, cost per click, audience growth, reach, engagement, or campaign profitability.
Marketing and advertising performance depends on factors outside F5 Studio’s control, including the Client’s offer, pricing, market demand, competition, audience behavior, website performance, landing page quality, budget, tracking accuracy, platform algorithms, platform policy decisions, and sales follow-up.
F5 Studio is not responsible for ad disapprovals, account restrictions, suspensions, billing issues, data loss, tracking limitations, attribution discrepancies, or performance changes caused by third-party advertising platforms, analytics platforms, client-side changes, or policy updates.
If an advertising account, campaign, tracking setup, or platform integration requires appeal, recovery, restructuring, compliance work, or additional troubleshooting, this may be treated as additional work unless included in the agreed scope.
The Client is responsible for reviewing and approving advertising claims, regulated content, product claims, pricing, promotions, legal notices, privacy requirements, cookie consent requirements, and any industry-specific compliance requirements before campaigns are published.
Dedicated developers, outsourcing, and agency partnerships
If F5 Studio provides dedicated specialists, outsourced development, design support, QA support, project management support, or agency partnership services, the exact roles, responsibilities, availability, communication process, reporting format, billing model, and engagement structure are defined in the relevant proposal, agreement, or written scope of work.
These services may be provided under fixed-scope, hourly, retainer, dedicated capacity, monthly, or mixed models, depending on the agreement.
Dedicated specialists and outsourced team members provide services within the agreed role and scope. They are not responsible for business decisions, final approvals, legal compliance, platform ownership, product strategy, or work outside the agreed responsibilities unless this is specifically included in writing.
F5 Studio team members, contractors, and subcontractors remain part of F5 Studio’s delivery team and do not become employees of the Client.
The Client is responsible for providing clear tasks, priorities, access, technical documentation, brand guidelines, design files, project management access, feedback, and approvals needed for the team to work effectively.
If F5 Studio works under the Client’s or agency partner’s process, the Client remains responsible for the accuracy of instructions, acceptance criteria, project priorities, and final approval of the work.
F5 Studio will take reasonable steps to protect confidential information and agency-client relationships. If a separate NDA, white-label agreement, or confidentiality agreement exists, that agreement takes priority.
Unless agreed otherwise in writing, F5 Studio may assign, replace, or involve suitable team members, contractors, or subcontractors to deliver the agreed services, provided that confidentiality and quality requirements are maintained.
Any work created specifically for the Client is transferred according to the intellectual property terms of these Terms or the applicable project agreement, after full payment has been received.
Non-solicitation of F5 Studio team members
During an active engagement and for 12 months after the end of the engagement, the Client must not directly or indirectly solicit, hire, contract with, or attempt to engage any F5 Studio employee, contractor, subcontractor, dedicated specialist, or team member who was involved in the Client’s project or services, without F5 Studio’s prior written consent.
This restriction applies whether the engagement is proposed as employment, freelance work, consulting, contracting, agency work, or any other direct or indirect working relationship.
Any exception must be agreed in writing by F5 Studio.
This section does not restrict a person from responding independently to a general public job advertisement that was not targeted at F5 Studio team members.
Third-party services, licenses, and tools
Some projects may require third-party services, software, plugins, themes, APIs, fonts, stock assets, hosting, payment gateways, analytics tools, advertising platforms, marketing platforms, automation tools, or other external products.
Unless agreed otherwise in writing, the Client is responsible for the cost, licensing, renewal, configuration, account ownership, billing, legal use, and ongoing management of third-party products and services.
F5 Studio may purchase, configure, or manage third-party products on behalf of the Client only when this is agreed in writing and the related costs are paid by the Client.
F5 Studio is not responsible for the accuracy, availability, security, performance, compatibility, pricing, policy changes, or future updates of third-party products or services.
If a third-party product changes, expires, becomes unavailable, breaks compatibility, restricts access, changes pricing, changes policies, or requires an upgrade, the related work may be treated as additional work.
Client or third-party changes after launch or delivery
F5 Studio is not responsible for issues caused by changes made after launch or delivery by the Client, another vendor, hosting provider, plugin provider, third-party service, advertising platform, or any person outside the F5 Studio project team.
This includes, but is not limited to, changes to content, design, code, plugins, themes, hosting, DNS, domains, integrations, security settings, user permissions, analytics, tracking scripts, advertising accounts, SEO settings, redirects, or platform configurations.
If F5 Studio is asked to investigate or fix issues caused by such changes, the work may be billed separately.
Intellectual property and ownership
Unless agreed otherwise in writing, the Client owns the final project deliverables created specifically for the Client after full payment has been received.
F5 Studio retains ownership of its pre-existing tools, internal processes, reusable components, know-how, development methods, non-client-specific code, templates, frameworks, documentation, and materials not created exclusively for the Client.
Third-party products, plugins, themes, fonts, stock assets, software, and services remain subject to their own license terms.
The Client remains the owner of materials supplied by the Client.
Ownership of unpaid work, draft work, rejected concepts, internal files, working files, source materials, and exploratory work remains with F5 Studio unless a written agreement states otherwise.
Portfolio and case study use
Unless restricted by an NDA or a written agreement, F5 Studio may reference completed work in its portfolio, case studies, proposals, presentations, social media, and marketing materials.
If the project is confidential, white-label, protected by NDA, or should not be publicly referenced, the Client must confirm this in writing before publication or as part of the project agreement.
F5 Studio will not intentionally disclose confidential information that is protected by a written confidentiality agreement.
Confidentiality
Both parties may receive confidential information during the project.
Confidential information should not be shared with third parties unless required for the project, allowed by written agreement, already public, independently developed, or required by law.
Where a separate NDA or confidentiality agreement exists, that agreement takes priority.
Limitations of liability
F5 Studio will use reasonable skill and care when providing services.
However, F5 Studio does not guarantee that any website, service, software, campaign, SEO work, third-party product, integration, or digital asset will be uninterrupted, error-free, fully secure, compatible with all future technologies, approved by third-party platforms, or suitable for every business purpose.
F5 Studio is not responsible for indirect, incidental, special, consequential, or business losses, including loss of profit, loss of revenue, loss of data, loss of rankings, loss of traffic, loss of leads, loss of conversions, loss of advertising spend, loss of business opportunity, reputational loss, or claims made by third parties, except where such liability cannot be excluded by applicable law.
F5 Studio is not responsible for delays, failures, or damages caused by third-party services, hosting providers, payment systems, plugins, APIs, advertising platforms, search engines, analytics platforms, security incidents, client-side changes, force majeure events, or circumstances outside F5 Studio’s reasonable control.
Website use
You may use the F5 Studio website for lawful purposes only.
You must not use the website in a way that could damage the website, interfere with its operation, attempt unauthorized access, introduce malicious code, misuse forms, send spam, scrape content without permission, or violate the rights of F5 Studio or any third party.
F5 Studio may restrict access to the website or take appropriate action if misuse is detected.
Information submitted through the website
If you submit information through a contact form, email, or other communication channel, you are responsible for ensuring that the information is accurate and that you have the right to share it.
F5 Studio is not required to review or respond to every message submitted through the website.
Personal data submitted through the website is handled according to our Privacy Policy.
Changes to these Terms
F5 Studio may update these Terms from time to time.
The updated version will be published on this page. Continued use of the website or services after changes are published means that you accept the updated Terms.
